Terms of Service

These Terms of Service ("Terms") govern your use of RingOn Service Corp ("RingOn") services including the C-Flex FMS platform, Sentinel Connect messaging archive, SMS / MMS messaging, voice services, and related products. By using our services, you agree to these Terms.

You must be at least 18 years of age and authorized to bind the legal entity (e.g., dealership, dealer group, brand) on whose behalf you register. You agree to provide accurate, current, complete information and to keep account credentials secure.

4. SMS / A2P 10DLC Use Terms

4.1 Required Consent

You may only use RingOn SMS messaging to send messages to recipients who have provided prior express written consent as required by the Telephone Consumer Protection Act (TCPA), the CTIA Messaging Principles, and carrier (CTIA / The Campaign Registry) requirements. Acceptable consent methods include:

4.4 Opt-Out Compliance

Recipients who reply STOP, UNSUBSCRIBE, CANCEL, END, or QUIT are immediately and permanently opted out. Our system processes opt-outs automatically. You agree NOT to contact opted-out recipients again unless they explicitly opt back in.

4.5 Help Reply

You agree your campaigns will respond to HELP with sender identification, support contact, and reference to opt-out (e.g., "Reply STOP to unsubscribe").

Violation of TCPA, A2P 10DLC, or CTIA rules can result in fines of $500–$1,500 per message and immediate termination of your messaging access. Carriers can also block your traffic.

5. Voice Recording & Compliance

5.1 Inbound Calls

For inbound calls, you must play an automated disclosure such as: "This call may be recorded for quality assurance and compliance purposes." Continued conversation constitutes implicit consent in 1-party consent jurisdictions.

5.2 Outbound Calls

For outbound calls, you must comply with the consent law of the recipient's jurisdiction:

Our platform automatically detects the recipient's area code and applies the corresponding disclosure or stops recording where consent is unavailable.

5.3 Retention

Recordings are retained on Azure Immutable Blob Storage (WORM) for 5 years (financial dealer transactions) or as otherwise required by law.

8. Service Availability

We target 99.9% monthly uptime for the C-Flex platform. Maintenance windows are announced at least 48 hours in advance when possible. We are not liable for outages caused by carriers, Microsoft, Meta, LINE, or other third-party providers.

9. Suspension and Termination

RingOn may suspend or terminate your account immediately if:

You may terminate at any time by giving 30 days written notice. Upon termination, you remain responsible for accrued fees and your compliance archive will continue to be retained for the legally required period.

10. Intellectual Property

RingOn retains all rights to the C-Flex FMS platform, Sentinel Connect, related software, and documentation. You retain rights to your content (messages, recordings, customer data). You grant RingOn a limited license to process your content solely to provide the services and meet retention obligations.

11. Confidentiality and Data Protection

Each party will protect the other's confidential information using at least the same care it uses to protect its own (and not less than reasonable care). Personal information processing is governed by our Privacy Policy.

12. Disclaimers

The services are provided "AS IS" and "AS AVAILABLE." RingOn disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Carriers may delay or fail to deliver messages. SMS / voice are not suitable for emergency communications (call 911 instead).

13. Limitation of Liability

To the maximum extent permitted by law, RingOn's total liability for any claim arising out of these Terms or the services will not exceed the fees you paid in the 12 months preceding the claim. RingOn will not be liable for indirect, incidental, consequential, special, or punitive damages.

14. Indemnification

You agree to defend, indemnify, and hold RingOn harmless from claims arising out of (a) your violation of these Terms, (b) your violation of TCPA, A2P 10DLC, state recording laws, or other applicable law, (c) content you transmit through the service, or (d) your unauthorized use of third-party intellectual property.

15. Governing Law and Venue

These Terms are governed by the laws of the State of California (or such other state as RingOn designates in its order form), excluding its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in California, and the parties consent to that exclusive jurisdiction.

16. Changes to Terms

We may update these Terms. Material changes will be announced at least 30 days in advance via email or in-app notice. Continued use of the services after the effective date constitutes acceptance of the updated Terms.
